Plain language summary
You use Lacuna Labs to analyse your documents. Your documents never leave your device. You own your data and your results. You pay for access to the platform on a subscription basis. You may not use the platform to process data you do not have the right to process, to circumvent export controls, or for prohibited purposes. These terms are governed by Swiss law. The platform is hosted in Switzerland.

1. Acceptance of terms

By accessing or using the Lacuna Labs platform at lacunalabs.eu (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

These Terms form a binding agreement between you (or your organisation) and Lacuna Labs, ("Lacuna Labs", "we", "us").

2. Service description and data sovereignty

Lacuna Labs provides the Gap Intelligence Platform — a browser-based tool for analysing document corpora, identifying conceptual gaps, and generating intelligence from textual data. The platform includes four product lines: Lacuna Core, Lacuna Signal, Lacuna Education, and Lacuna Scope.

Local processing guarantee

The core analysis engine of the Service operates entirely within your web browser. Files you upload, documents you analyse, and corpora you process are not transmitted to Lacuna Labs servers. This architectural design is a core feature of the Service and constitutes a material term of this agreement.

You retain full sovereignty over your documents, research data, and analytical results. Lacuna Labs makes no claim to any intellectual property rights in the content of documents you process using the Service.

What the Service provides

The Service provides access to the analysis engine, user interface, and associated tools. It does not store your documents, analyse your documents on its servers, or transmit document content to any party. The Service facilitates your analysis — it does not perform that analysis on your behalf or on its infrastructure.

3. Account registration

To access paid features, you must create an account using a valid email address and a password of at least 12 characters. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use at hello@lacunalabs.eu.

You agree to provide accurate, current, and complete information during registration. We reserve the right to suspend or terminate accounts based on inaccurate, false, or incomplete information.

4. Subscription, pricing, and payment

The Service is offered on a free Trial tier and paid subscription tiers. Subscriptions and payments are processed by Paddle.com (Paddle Payments Ltd, Judd House, 18-29 Mora Street, London EC1V 8BT, UK), acting as Merchant of Record. By purchasing a subscription, you also agree to Paddle's Buyer Terms. Paddle is responsible for processing payments, issuing invoices, and remitting applicable taxes (including VAT and GST) in all jurisdictions.

Current pricing, plan features, and document limits are published on the Lacuna Labs pricing page. Prices are shown in GBP and exclude applicable taxes. All plan details, including document limits and feature availability, are subject to change with 30 days' notice to existing subscribers.

Monthly billing is available at an additional 10% over the equivalent monthly cost of the annual plan. All prices are in GBP (pounds sterling) and exclude applicable taxes.

Subscriptions renew automatically unless cancelled before the renewal date. We will provide at least 30 days' notice before any price changes affecting existing subscriptions.

Annual plans are eligible for a full refund within 14 days of purchase or annual renewal. Monthly plans are non-refundable; you may cancel at any time and retain access until the end of the current billing period. Please refer to our Refund Policy for full details. Nothing in this clause affects any mandatory rights you may have under applicable consumer protection law.

5. Government tier — special conditions

Government tier eligibility
Access to the Government tier (Lacuna Core) requires verification of institutional status. Accounts registered with personal or commercial email addresses are not eligible for government pricing. Misrepresentation of institutional affiliation constitutes a material breach of these Terms.

Eligibility verification

Government tier access requires registration with an official governmental email address (domains of the form .gov, .gov.br, .gouv.fr, .gov.uk, .mil, or equivalents recognised by Lacuna Labs). Lacuna Labs reserves the right to request additional verification documentation.

Developing nation classification

Reduced pricing for developing nation governments is determined by reference to the United Nations Development Programme (UNDP) Human Development Index country classifications as published at the time of subscription. Lacuna Labs reserves the right to request evidence of eligibility and to update classification criteria with 90 days' notice.

On-premise and air-gap deployment

Government clients requiring on-premise or air-gapped deployment (operation in environments without internet connectivity) should contact us to negotiate a separate institutional agreement. The standard SaaS terms do not apply to on-premise deployments.

Export control compliance

You acknowledge that the Service and its components may be subject to export control laws and regulations, including but not limited to the UK Export Control Order 2008, administered by the Export Control Joint Unit (ECJU), and any other applicable export control legislation. You represent that your use of the Service complies with all applicable export control laws and that you are not located in, or acting on behalf of a person or entity in, a country subject to UK, EU, or UN sanctions or export restrictions.

7. Intellectual property

Platform: The Lacuna Labs platform, its software, design, trademarks, and brand elements are the property of Lacuna Labs. You are granted a limited, non-exclusive, non-transferable licence to use the Service for your internal purposes during the term of your subscription.

Your content: You retain all intellectual property rights in documents you process, corpora you analyse, and results you generate using the Service. Lacuna Labs claims no rights in your content. The local processing architecture means that your content never enters our systems.

Results: Analysis outputs, gap maps, and other results generated through your use of the Service belong to you. We encourage attribution where the platform contributes materially to published research: "Gap analysis performed using Lacuna Labs (lacunalabs.eu)".

8. Third-party API keys and external services

⚠ Third-party data flows — your responsibility
API keys you configure in Settings are stored only in your browser. When you use external services, data flows directly from your browser to the provider. Lacuna Labs has no access to these transmissions and is not responsible for third-party data practices.

8.1 API key storage. API keys are stored exclusively in your browser's localStorage and are never transmitted to or stored by Lacuna Labs. You are responsible for the security of your API keys and for any charges incurred from their use.

8.2 Third-party data flows. When you use a connected service, queries and associated data are transmitted directly from your browser to that provider. Lacuna Labs is not a party to these transmissions and makes no representations about the data practices of third-party providers.

8.3 Limitation of liability. Lacuna Labs shall not be liable for any loss, damage, or regulatory consequence arising from your use of third-party APIs through the platform, including data breaches at the provider level or non-compliance of providers with applicable data protection law.

8.4 AI Advisor. The optional AI Advisor transmits corpus term statistics (word names and frequency counts only — never document content) to your chosen AI provider. You are solely responsible for ensuring this use is compatible with your data protection obligations and any confidentiality requirements applicable to your corpus.

8.5 Sensitive material. You agree not to use external API connections when processing data subject to security classifications, legal privilege, or confidentiality obligations, unless you have verified that the relevant provider's terms permit such use.

9. Disclaimers and limitation of liability

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free from security vulnerabilities.

Analysis results generated by the platform are statistical outputs based on the documents you provide. They do not constitute legal, scientific, strategic, or professional advice and should not be relied upon as such without independent verification.

To the maximum extent permitted by applicable law, Lacuna Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages. Our total aggregate liability shall not exceed the amounts paid by you to Lacuna Labs in the 12 months preceding the claim.

10. Termination

You may terminate your account at any time by contacting us at hello@lacunalabs.eu. We may suspend or terminate your account for material breach of these Terms, with or without prior notice depending on the severity of the breach. Upon termination, your access to paid features ceases and we will delete your account data within 30 days, subject to legal retention obligations.

11. Governing law and disputes

These Terms are governed by the laws of Switzerland. Any dispute arising from these Terms or your use of the Service shall first be subject to good-faith negotiation between the parties. If not resolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of Geneva, Switzerland. The platform is hosted by Infomaniak SA, Geneva, Switzerland.

Nothing in this clause limits the rights of consumers under applicable mandatory consumer protection laws of their jurisdiction.

12. Changes to these terms

We reserve the right to modify these Terms. We will provide at least 30 days' notice of material changes by email to registered users. Your continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms. If you do not agree to the changes, you must discontinue use before the effective date. No refunds are issued for prepaid unused subscription periods.
